Terms of Use

These terms govern your use of the Self-Service Valuation Estimator. Please read them before generating a report. By ticking the acknowledgement box in the tool, you agree to them.

1. What this is

The Self-Service Valuation Estimator (the “Tool”) is software. It applies broad industry rules of thumb to figures you enter and returns an arithmetic estimate.

The Tool does not produce a valuation, an appraisal, a calculation of value, a conclusion of value, a fairness opinion, or a determination of fair market value. No valuation analyst or appraiser is engaged, reviews your inputs, reviews your result, or exercises professional judgement on the facts of your business. There is no engagement letter and no professional engagement of any kind.

The procedures behind the Tool’s output are far narrower than those required for a valuation engagement or a calculation engagement under professional valuation standards. Had either been performed, the result could differ materially, in either direction, from the figure the Tool displays.

2. The figures are yours

The Tool relies entirely on the numbers you enter. We do not verify your revenue, earnings, add-backs, balance sheet, or any other input against tax returns, financial statements, bank records, or any other source. If your inputs are inaccurate or incomplete, the output will be inaccurate, and we are not responsible for that.

Where you choose to override the multiple with your own figure, the resulting output reflects your assumption and is not an estimate of value from us.

3. The multiples are rules of thumb

The industry multiple ranges used by the Tool are broad general benchmarks. They are not drawn from any transaction database, are not specific to your market, size, or time period, and have not been verified against comparable sales. Real multiples for your industry may fall well outside the ranges shown.

4. Prohibited uses

You may not use, present, or rely on the Tool’s output for:

  1. obtaining or supporting any financing, loan, or SBA application;
  2. any tax filing, tax planning, or submission to any taxing authority;
  3. any litigation, dispute, arbitration, mediation, or court proceeding;
  4. estate planning, gift valuation, or probate;
  5. any partner buyout, shareholder dispute, divorce, or marital settlement;
  6. any purchase, sale, merger, or transfer of a business or any interest in one;
  7. any purpose requiring a valuation, appraisal, or opinion of value.

Each of those requires a formal valuation engagement. We offer those separately.

5. No warranties

The Tool and its output are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including without limitation any warranty of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Tool will be available, uninterrupted, or error-free.

6. Limitation of liability

To the maximum extent permitted by law, the total aggregate liability of Affordable Business Valuations and its owners, officers, employees, and agents, arising out of or relating to the Tool or any output it produces — whether in contract, tort, negligence, strict liability, or otherwise — shall not exceed the subscription fees you actually paid in the twelve (12) months preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost business, lost opportunity, lost sale value, or diminution in value, even if advised of the possibility of such damages.

7. No third-party reliance

The output is generated for you alone. No third party — including any prospective buyer or seller, lender, investor, insurer, court, tribunal, opposing party, taxing authority, or professional advisor — is an intended user, and no third party may rely on the output for any purpose.

We accept no duty of care and no liability to any party other than the subscriber, and none to the subscriber beyond the limits in Section 6. If you share the output with any third party, you do so at your own risk and on these terms.

8. Indemnity

You agree to indemnify, defend, and hold harmless Affordable Business Valuations and its owners, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) brought by any third party and arising out of your use of the Tool, your disclosure of its output, or your breach of these Terms.

9. Subscription, licence, and access

Access is licensed to you as an individual subscriber for twelve (12) months from the date of purchase. The licence is personal and non-transferable. You may not share, resell, redistribute, sublicense, republish, or provide access to the Tool to any other person or business, and you may not reproduce the Tool’s output for resale or as part of any service you provide to others.

The Tool, its underlying methodology, and the reports it produces are our proprietary property.

We may modify, suspend, or discontinue the Tool at any time. We may update these Terms; material changes will be presented for acceptance before further use.

The subscription price is exclusive of any applicable sales or use tax, which will be collected at checkout where required by law. The subscription automatically renews annually at the then-current price unless you cancel before the renewal date. If you cancel within seven (7) days of your initial purchase or of a renewal charge, you will receive a full refund of that charge; cancellations after that seven-day window are not eligible for a refund of the then-current subscription period. 10. Privacy

The Tool runs in your browser. The figures you enter are not stored by us, are not written to any database, and are not retained after your session ends.

If you supply an email address in order to receive a copy of your report, the finished report is transmitted to our email provider solely so that it can be converted to a PDF and sent to you. It is processed in memory, is not written to disk or to any database, and is discarded once the message has been sent. We keep no copy, and we therefore cannot recover, reproduce, or verify any report you have generated — the emailed PDF is the only copy that exists.

If you do not supply an email address, nothing leaves your browser at all.

11. Not professional advice

Nothing produced by the Tool constitutes valuation, appraisal, accounting, tax, legal, or investment advice, and no professional or fiduciary relationship is created by your use of it. Consult a qualified professional before acting on any figure it displays.

12. Severability and entire agreement

If any provision of these Terms is held unenforceable, that provision shall be limited or severed to the minimum extent necessary and the remaining provisions shall remain in full force. These Terms, together with the acknowledgement you accept before generating a report, are the entire agreement between us regarding the Tool and supersede any prior representation, including any statement made on our marketing pages.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to the jurisdiction of those courts.
